Terms of Service

1. Acceptance of Terms

By accessing or using BidResponse AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a binding legal agreement between you (and the organization you represent, if applicable) and UnfetteredMind LLC ("Provider," "we," "us," or "our").

2. Description of Service

BidResponse AI is a web application designed to help small local and municipal contractors respond to city, county, and school-district Requests for Proposals (RFPs). The Service allows you to upload past winning proposals to build a knowledge base, then upload new RFPs to receive AI-generated draft answers grounded in your past work. The Service is limited to local and municipal contracting and does not support federal contracting.

3. Subscription and Billing

The Service is offered as a subscription at a flat rate of $200 per month, billed through Stripe.

  • Subscriptions automatically renew each month unless cancelled.
  • You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account settings.
  • Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.
  • We reserve the right to change pricing with 30 days' advance notice to active subscribers.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload content that is illegal, infringing, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service to engage in fraud or misrepresentation.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service in any manner that could damage, disable, or impair the Service.

5. Customer Responsibility

IMPORTANT: You are solely responsible for reviewing and verifying every AI-generated answer before submitting any bid or proposal to any agency or entity.

The Service provides draft responses with source citations and confidence scores, but these are tools to assist your review process, not substitutes for it. The Service does not and will not automatically submit any bid or proposal on your behalf. You retain full control and responsibility for all submissions.

6. No Warranty

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied.

We specifically disclaim any warranties that:

  • AI-generated responses are accurate, complete, or compliant with any RFP requirements.
  • Use of the Service will result in winning any bid or that any bid will be deemed responsive or compliant.
  • The Service will be uninterrupted, secure, or error-free.
  • Any defects in the Service will be corrected.

7. Intellectual Property

Your Content: You retain all ownership rights to the documents and data you upload to the Service. By uploading content, you grant us a limited license to process and use that content solely to provide the Service to you.

Our Software: The Service, including its software, design, and functionality, is owned by UnfetteredMind LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.

8. Confidentiality

We understand that your uploaded documents may contain confidential business information. We will maintain the confidentiality of your content and will not disclose it to third parties except as necessary to provide the Service (through our subprocessors) or as required by law. See our Privacy Policy and Data Processing Addendum for details.

9. Limitation of Liability

To the maximum extent permitted by law, UnfetteredMind LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless UnfetteredMind LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or regulation; or (d) any bid or proposal you submit based on content generated by the Service.

11. Termination

Either party may terminate your subscription at any time:

  • You may cancel through the Stripe Customer Portal, effective at the end of your billing period.
  • We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.

Upon termination, your access to the Service will cease, and your data may be deleted in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
